01The agreement

These Terms of Service ("Terms") form a legally binding contract between you ("Client", "you") and Vitality Rich Ltd ("VR", "we", "us", "our"), a company operating from Norwich, United Kingdom. They apply to every interaction with the service, including but not limited to booking a session, purchasing a digital programme, subscribing to a mailing list, or using any content on vitalityrich.fit.

By using the service you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, you must not use the service.

02Eligibility

You represent and warrant that:

• You are at least 18 years of age, or have the consent of a parent or legal guardian who has themselves read and agreed to these Terms;
• You have the legal capacity to enter into a binding contract;
• You are not accessing the service from a jurisdiction where it is unlawful to do so;
• All information you provide is true, accurate, complete, and current.

03Health, medical disclaimer & PAR-Q

You are required to complete a Physical Activity Readiness Questionnaire (PAR-Q) or equivalent intake form before your first session. You must disclose fully and honestly any medical condition, injury, medication, pregnancy, or limitation that may affect your ability to exercise safely. Failure to disclose such information, or the provision of false information, voids any implied duty of care by VR and places all resulting liability on you.

Nothing in any VR programme, session, email, PDF, video, or communication constitutes medical, nutritional, psychological, or therapeutic advice. VR is not a medical or healthcare provider. Always consult a qualified professional for such advice.

You agree to stop immediately and inform the coach, or seek medical help, if you experience pain, dizziness, shortness of breath, or any symptom during or after training.

04Assumption of risk

You understand and voluntarily accept that exercise — including resistance training, cardiovascular work, mobility work, and any activity undertaken in connection with VR — carries risks that include but are not limited to:

• Muscle, tendon, ligament, or joint injury
• Fractures, dislocations, or soft-tissue damage
• Cardiovascular events including heart attack or stroke
• Aggravation of pre-existing conditions
• Rhabdomyolysis or other metabolic incidents
• Falls, collisions, or equipment failure
• Death

You voluntarily and knowingly assume all such risks, whether or not they are foreseeable, and agree that VR shall not be liable for any such occurrence, except to the extent liability cannot lawfully be excluded.

05Release & waiver

To the fullest extent permitted by law, you hereby release, waive, discharge, and covenant not to sue Vitality Rich Ltd, its founder(s), directors, employees, subcontractors, agents, and affiliates (collectively, the "Released Parties") from any and all claims, demands, actions, causes of action, damages, losses, costs, or expenses of any kind arising out of or related to:

• Your participation in any VR programme, session, or activity;
• Any injury, illness, death, or property damage sustained in connection with the service;
• Your reliance on any content, advice, or information provided by VR;
• Your failure to disclose medical conditions or to follow safety instructions.

This release applies to negligence of the Released Parties to the fullest extent permitted by law. It does not apply to death or personal injury caused by the Released Parties' gross negligence or wilful misconduct, or to any liability which cannot lawfully be excluded under English law (including under sections 2(1) and 2(2) of the Unfair Contract Terms Act 1977 and section 65 of the Consumer Rights Act 2015).

06Services

VR offers three service categories:

• In-Call training — 1:1 sessions at a VR-designated facility in Norwich
• Out-Call training — 1:1 sessions at the Client's designated location in and around Norwich
• Online programmes — pre-built PDF programmes and meal-prep plans delivered by email

All service details, prices, inclusions, and availability are as displayed on vitalityrich.fit at the time of purchase. VR reserves the right to modify, suspend, or discontinue any part of the service at any time without notice. Purchases already made will be honoured or refunded at VR's reasonable discretion.

07Digital programmes

Delivery

Digital programmes are delivered by email as PDF files. By purchasing, you expressly consent to immediate supply of digital content and acknowledge that you thereby waive your statutory 14-day cancellation right under Regulation 37(1)(a) of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 once the download link has been dispatched.

If delivery has not occurred within 24 hours, email contact@vitalityrich.fit.

Licence

You receive a non-exclusive, non-transferable, non-sublicensable, revocable licence to use the programme for your own personal, non-commercial training.

Prohibited uses

• Copying, sharing, forwarding, uploading, or publishing the programme or any part of it
• Reselling, reproducing, or rebranding the content
• Using the content to provide coaching, training, or any commercial service to third parties
• Using the content to train AI or machine-learning models
• Circumventing technical protection measures

Each programme is watermarked and tied to the purchaser's email address. Violation of this section constitutes a material breach and results in immediate revocation of access with no refund, and may result in legal action including injunctive relief and a claim for damages.

08Sessions & bookings

• Sessions must be booked through the website and are confirmed by email.
• Arrive (in-call) or be ready (out-call) five minutes before the scheduled start. Late arrival does not extend the session.
• If VR is unavoidably delayed, time is credited to the next session at VR's discretion.
• VR reserves the right to refuse, pause, or terminate any session without refund where the Client is intoxicated, under the influence of drugs, abusive, violent, sexually inappropriate, or otherwise unable to train safely.
• For out-call sessions, the Client is responsible for providing a safe, suitable, and lawful training environment. VR may refuse to train at a location it deems unsafe.

09Payments

Prices are in British Pounds (GBP, £) and include VAT where applicable. Digital programmes are paid upfront via Stripe. Sessions are paid on the day by card, cash, or bank transfer unless part of a pre-purchased package. Packages are paid upfront and are valid for the period stated. VR does not store payment card details.

Failed, reversed, or charged-back payments automatically suspend access to the affected programme or service until the outstanding amount is paid in full, together with any fees VR incurs in connection with the reversal.

10Refunds

11No results guarantee

VR makes no warranty, representation, or guarantee, express or implied, as to the results you may achieve. Individual outcomes vary and depend on countless factors outside VR's control, including genetics, effort, consistency, sleep, nutrition, stress, pre-existing conditions, and adherence to the programme. Before/after photographs, testimonials, or statistics on the website are non-typical and are not a promise or prediction of your results. Any informal "guarantee" offered in marketing copy is discretionary, goodwill-based, and does not create legal obligation beyond what is set out in §10.

12Client conduct

You agree to:

• Disclose all relevant medical conditions, injuries, medications, and contraindications honestly;
• Follow all safety instructions given during sessions;
• Treat the coach, staff, and other clients with respect;
• Not record, photograph, or publish session content without prior written consent from VR;
• Not make any defamatory, false, or misleading public statement about VR. Lawful, good-faith reviews are welcome.

13Intellectual property

All content on vitalityrich.fit and in every VR programme, including text, graphics, logos, trade marks, photographs, videos, audio, layouts, code, training methodologies, and the "Turning Vitality into Wealth" tagline, is the exclusive property of Vitality Rich Ltd or its licensors and is protected by UK and international copyright, trade-mark, and other intellectual-property law. No rights are granted except the limited licence in §07. All other rights are reserved.

14Limitation of liability

Subject to the non-excludable liabilities set out at the end of this section, and to the fullest extent permitted by law:

• VR, its founder(s), employees, subcontractors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, whether in contract, tort (including negligence), statute, or otherwise;
• VR shall not be liable for loss of profits, loss of revenue, loss of data, loss of business, loss of opportunity, loss of reputation, or wasted expenditure, howsoever arising;
• VR shall not be liable for any injury, illness, condition, or adverse outcome caused or exacerbated by (a) your failure to disclose a medical condition or to obtain medical clearance, (b) your failure to follow instructions, or (c) any activity you undertake outside a booked session based on information provided by VR;
• VR's total aggregate liability for any and all claims arising out of or related to the service shall not exceed the lesser of (a) the total amount paid by the Client to VR in the six (6) months immediately preceding the event giving rise to the claim, or (b) £250. This cap applies regardless of the number of claims or the legal theory pleaded.

The foregoing exclusions and limitations do not apply to: (i) death or personal injury caused by the gross negligence or wilful misconduct of VR; (ii) fraud or fraudulent misrepresentation; (iii) any liability which cannot lawfully be excluded or limited under applicable law, including under the Consumer Rights Act 2015 and the Unfair Contract Terms Act 1977.

You agree that these limitations are a fundamental basis of the commercial bargain between you and VR, and that the service would not be offered at its stated price without them.

15Indemnity

You agree to indemnify, defend, and hold harmless VR, its founder(s), directors, employees, subcontractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms;
• Your violation of any law or regulation;
• Your failure to disclose medical information or to obtain medical clearance;
• Your infringement of any third-party right, including intellectual-property rights;
• Any unauthorised sharing, distribution, or commercial use of VR content;
• Any action you take on the basis of VR content, outside a booked session.

16Force majeure

VR is not liable for any delay or failure to perform caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, government action, war, terrorism, civil disturbance, strike, power or telecommunications failure, hosting-provider or payment-processor outage, injury or illness of the coach, or any other force majeure event. Where such event prevents performance, VR may reschedule, suspend, or cancel affected services without liability, and the Client's sole remedy is a pro-rata credit or refund at VR's reasonable discretion.

17Termination

VR may suspend or terminate the service, or any part of it, with immediate effect and without refund where the Client: (a) materially breaches these Terms, (b) fails to pay, (c) engages in conduct described in §12, (d) initiates a chargeback without first contacting VR, or (e) brings the reputation of VR into material disrepute. Either party may end an ongoing coaching relationship on reasonable written notice. Sections that by their nature should survive termination (including §04, §05, §13, §14, §15, §18) will survive.

18Disputes, governing law & jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

Before commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute by: (a) written notice to contact@vitalityrich.fit describing the dispute, and (b) a good-faith negotiation period of at least 30 days. If the dispute is not resolved within that period, either party may commence proceedings.

Any claim must be brought within one (1) year of the event giving rise to it, except where a longer period is required by law. You agree that you will bring any claim in your individual capacity and not as part of any class or representative action.

19General

• Entire agreement. These Terms, together with the Privacy Policy, form the entire agreement between the parties and supersede all prior agreements, representations, and understandings.
• Severability. If any provision is held invalid or unenforceable, the remainder continues in full force.
• No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
• Assignment. You may not assign these Terms without VR's written consent. VR may assign freely.
• Third parties. A person who is not a party to these Terms has no right to enforce any term under the Contracts (Rights of Third Parties) Act 1999, except that the Released Parties in §05 may enforce that section.
• Headings. Are for convenience only and do not affect interpretation.
• Changes. VR may update these Terms at any time; the effective date at the top reflects the latest version. Continued use after the effective date constitutes acceptance.
